END USER LICENSE AGREEMENT FOR MICROSOFT WINDOWS MEDIA FORMAT SOFTWARE DEVELOPMENT KIT 9 SERIES IMPORTANT—READ CAREFULLY: This Microsoft End-User License Agreement ("EULA") is a legal agreement between you (either an individual person or a single legal entity, who will be referred to in this EULA as "You") and Microsoft Corporation for the Microsoft software product that accompanies this EULA, including any associated media, printed materials and electronic documentation (the "Software Product"). The Software Product is designed for use with specific Microsoft operating system software (any such software referred to here as "OS Product") and includes components ("OS Components") to update, supplement, or replace existing functionality of the applicable OS Product. BY INSTALLING, COPYING, DOWNLOADING, ACCESSING OR OTHERWISE USING THE SOFTWARE PRODUCT, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. If You do not agree, do not install, access or use the Software Product. IF YOU DO NOT HAVE A VALIDLY-LICENSED COPY OF THE APPLICABLE OS PRODUCT, YOU ARE NOT AUTHORIZED TO INSTALL, COPY OR OTHERWISE USE THE SOFTWARE PRODUCT AND HAVE NO RIGHTS UNDER THIS EULA. SOFTWARE PRODUCT LICENSE The Software Product is protected by copyright and other intellectual property laws and treaties. Microsoft or its suppliers own the title, copyright, and other intellectual property rights in the Software Product. Microsoft reserves all rights not expressly granted to You in this EULA. The Software Product is licensed, not sold. The capitalized terms used in this EULA are defined as follows: "Advanced Systems Format" or "ASF" means the current version of the extensible file storage format developed by or for Microsoft for authoring, editing, archiving, distributing, streaming, playing, referencing, or otherwise manipulating Content, as used by the Windows Media technologies. "ASF Content" means Content contained within ASF and optionally protected with DRM. "ASF File" means a file that solely contains ASF Content. "Content" means digital audio (including, but not limited to, timeline-synchronized audio, music, voice, or sounds), digital video, and other digital information including data, text (including, but not limited to, script command data and related metadata such as a song title or an artist’s name), animation, graphics, photographs, and artwork, and combinations of any or all of the foregoing. "Updates" means all subsequent public releases of software including public beta releases, maintenance releases, error corrections, upgrades, enhancements, additions, improvements, extensions, modifications and successor versions. "WM Codecs" means all versions of the compression/decompression algorithms ("codecs") named "Windows Media Audio", "Windows Media Video", "Windows Media Screen", "Microsoft MPEG-4 codec", and any other codecs designated as "Windows Media" or "WM" codecs released by Microsoft for use with the Software Product. "WM Metafile" means a metafile that controls the local and/or streamed rendering of Content and conforms to the XML-based metafile format defined in the Windows Media Player Software Development Kit. All other initially capitalized terms have the meanings assigned to them elsewhere in this Agreement. 1. GRANT OF LICENSE. This Section of the EULA describes Your general rights to install and use the Software Product. The license rights described in this Section are subject to all other terms and conditions of this EULA. (a) Software Product. You may install and use the Software Product on a single computer to design, develop, and test Your software products that utilize Microsoft Windows Media technology (i) to encode, decode, and/or render Content designed and intended for use solely on the OS Products and/or (ii) to enable transfer of Content from a personal computer running the OS Products to an external portable playback device (Your "Applications"). You may also make a copy of the Software Product for backup and archival purposes. This Software Product does not provide the functionality to manipulate ASF Content protected with Microsoft's digital rights management technology ("DRM"). If You have multiple validly-licensed copies of an applicable OS Product, You may reproduce, install and use one copy of the Software Product on each of Your computers that is running a validly licensed copy of the applicable OS Product, provided that You use such additional copies of the Software Product in accordance with the term and conditions herein. (c) Electronic Documents. Solely with respect to any electronic documents included with the Software Product, You may make a reasonable number of copies (either hardcopy or electronic form), provided that (a) such copies shall only be used for internal purposes and solely in support of Your authorized use of the Software Product, and (b) are not published or distributed to any third party. 2. ADDITIONAL LICENSE RIGHTS – SAMPLE SOURCE AND REDISTRIBUTABLE COMPONENTS. In addition to the rights granted in Section 1, certain portions of the Software Product as described in this Section 2, are provided to You with additional license rights. These additional license rights are conditioned upon Your compliance with the distribution requirements and license limitations described in Section 3. Microsoft grants You the following limited, non-exclusive rights: (a) Sample Source. You may copy, modify, and create derivative works of the sample source code located in the "\samples" and "\include" directories installed by the Software Product, including any Updates thereof that may be provided ("Sample Source") to develop Your Application. You may reproduce and distribute, only in object code form, versions of the Sample Source including any modifications or derivative works thereof, as part of the distribution of Your Application. (b) Redistributable Code. You may reproduce and distribute, only in object code form, the portions of the Software Product located in the "\redist" directory installed by the Software Product, including any Updates thereof that may be provided ("Redistributable Components") as part of Your Application. 3. DISTRIBUTION REQUIREMENTS; LICENSE LIMITATIONS (a) Redistributable Components and Sample Source Distribution. You may distribute the Redistributable Components and Sample Source as described above, provided that: (i) You distribute the Redistributable Components and Sample Source only in conjunction with, and as a part of, Your Application; (ii) Your Application adds significant and primary functionality to the Redistributable Components and the Sample Source; (iii) the Redistributable Components and Sample Source only operate in conjunction with the OS Products; (iv) You include in the About Box for Your Application (or if there is no About Box, in another location that end users can easily discover and read), a copyright notice which states the following: "Portions utilize Microsoft Windows Media Technologies. Copyright (c) 1999-2002 Microsoft Corporation. All Rights Reserved"; (v) You agree to display Your own valid copyright notice which shall be sufficient to protect Microsoft’s copyright in the Redistributable Components and Sample Source; (vi) You do not alter or remove any copyright, trademark or other protective notices contained in the Redistributable Components and Sample Source; (vii) You will not use Microsoft's name, logo or trademarks to market or promote Your Application, except as permitted in a separate agreement between You and Microsoft; (viii) Your Application is provided to Your end users pursuant to an end user license agreement which contains terms that are consistent with the terms and conditions of this EULA and shall be sufficient to protect Microsoft’s intellectual property rights in the Redistributable Components; (ix) You may not modify any portion of the Redistributable Components; and (x) You agree to indemnify, hold harmless, and defend Microsoft from and against any claims or lawsuits, including attorneys' fees, that arise or result from the use or distribution of Your Application. Contact Microsoft for the applicable licensing terms for all other uses and/or distribution of the Redistributable Components. You agree not to permit further distribution of the Redistributable Components and Sample Source by Your end users except You may permit further redistribution of the Redistributable Components and Sample Source by Your distributors to Your end-user customers if Your distributors only distribute the Redistributable Components and Sample Source in conjunction with, and as part of, Your Application and You and Your distributors comply with all other terms of this EULA. (b) Windows Media Interoperability. To promote interoperability with legacy and future solutions built on Windows Media technologies, Microsoft recommends that Your Application follow these guidelines: (i) if Your Application saves to permanent storage, writes to a network, or otherwise exports Content compressed with WM Codecs, such Content should be contained within ASF; (ii) if Your Application creates ASF Files, or registers for any file types or MIME types associated with ASF Files, Your Application should adhere to the ASF File naming and registration conventions posted on the http://go.microsoft.com/fwlink/?LinkId=11652 web site; and (iii) if Your Application creates WM Metafiles, or registers for any file types or MIME types associated with WM Metafiles, Your Application should adhere to the WM Metafile naming and registration conventions posted on the http://go.microsoft.com/fwlink/?LinkId=11653 web site. (c) WM Metafile Alterations. Except as authorized in writing by the original provider of a WM Metafile, Your Application shall not (i) alter the end user playback experience indicated by such WM Metafile; (ii) alter or ignore Content specified by such WM Metafile; or (iii) present additional Content to the end user that was not originally specified in such WM Metafile. (d) ACELP.net Codec. Your Application may not use the ACELP.net Codec to enable products that provide telephony functionality, including bi-directional transmission of voice and/or sound such as audio-conferencing or computer integrated telephony. "ACELP.net Codec" means the Algebraic Code Excited Linear Prediction vocoder software, algorithms and intellectual property licensed to Microsoft by Sipro Lab Telecom, Inc. (e) Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the Software Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. (f) No Alterations. Except for the Sample Source, You may not alter any component of the Software Product, including without limitation the Redistributable Components. (g) Invoking the Software Product. Your Application will invoke the Software Product only via interfaces described in the documentation for the Software Product. (h) Identified Software. Your license rights to the Redistributable Components and Sample Source are conditioned upon Your (i) not incorporating Identified Software into, or combining Identified Software with, the Redistributable Components, Sample Source or a derivative work thereof; (ii) not distributing Identified Software in conjunction with the Redistributable Components, Sample Source or a derivative work thereof; and (iii) not using Identified Software in the development of a derivative work of the Redistributable Components or Sample Source. "Identified Software" means software which is licensed pursuant to terms that directly or indirectly (1) create, or purport to create, obligations for Microsoft with respect to the Redistributable Components, Sample Source or derivative work thereof or (2) grant, or purport to grant, to any third party any rights or immunities under Microsoft’s intellectual property or proprietary rights in the Redistributable Components, Sample Source or derivative work thereof. Identified Software includes, without limitation, any software that requires as a condition of use, modification and/or distribution of such software that other software incorporated into, derived from or distributed with such software be (A) disclosed or distributed in source code form; (B) be licensed for the purpose of making derivative works; or (C) be redistributable at no charge. 4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS: (a) Transfer. You may not transfer Your rights under this EULA to any third parties. (b) Rental. You may not rent, lease, or lend the Software Product. (c) Trademarks. This EULA does not grant You any rights in connection with any trademarks or service marks of Microsoft. Without prejudice to any other rights, Microsoft may terminate this EULA if You fail to comply with the terms and conditions of this EULA. In such event, You must destroy all copies of the Software Product. Any distribution prior to the effective date of termination by You to end-users of Your Application(s) including Redistributable Components or Sample Source in object code form which have been already validly granted under an end-user license agreement in compliance with this EULA shall, subject to applicable conditions under Section 3, not be affected and shall remain in full force and effect. (e) Upgrades and Successor Versions. Microsoft may, at its option, make upgrades and/or successor versions of the Software Product, available by general posting on a Microsoft website. Microsoft may make non-beta versions of such upgrades and/or successor versions of the Software Product ("Upgrades") available pursuant to the terms of this Agreement or, in Microsoft’s sole discretion, Microsoft may condition the release of such Upgrades to You upon Your acceptance of another EULA or other execution of a separate agreement. You agree that all new versions of Your Application(s) released more than ninety (90) days after Microsoft’s release of an Upgrade will incorporate the Upgrade. (f) Support Services. Microsoft is not obligated to provide technical or other support ("Support Services") for the Software Product. If Microsoft should provide You with Support Services, use of such Support Services is governed by the Microsoft polices and programs described in the user manual, in "on line" documentation and/or other Microsoft-provided materials. Any supplemental software code provided to You as part of the Support Services shall be considered part of the Software Product and subject to the terms and conditions of this EULA. With respect to technical information You provide to Microsoft as part of the Support Services, Microsoft may use such information for its business purposes, including for product support and development. Microsoft will not utilize such technical information in a form that personally identifies You. (g) Technical Support for Your Application. You are responsible for any and all maintenance, end-user support, technical support and updates for Your Application(s). 5. INTELLECTUAL PROPERTY RIGHTS. All title and intellectual property rights in and to the Software Product (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software Product), the accompanying printed materials, and any copies of the Software Product are owned by Microsoft or its suppliers. All title and intellectual property rights in and to the content that is not contained in the Software Product, but may be accessed through use of the Software Product, is the property of the respective content owners and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants You no rights to use such content. If this Software Product contains documentation that is provided only in electronic form, You may print one copy of such electronic documentation. You may not copy the printed materials accompanying the Software Product. 6. LIMITED WARRANTY. IF THE APPLICABLE OS PRODUCT WAS LICENSED TO YOU BY MICROSOFT OR ANY OF ITS WHOLLY OWNED SUBSIDIARIES, THE LIMITED WARRANTY (IF ANY) INCLUDED IN THE APPLICABLE OS PRODUCT EULA APPLIES ONLY TO THE OS COMPONENTS, PROVIDED THAT THE OS COMPONENTS HAVE BEEN LICENSED BY YOU WITH THE TERM OF THE LIMITED WARRANTY IN THE APPLICABLE OS PRODUCT EULA. HOWEVER, THIS EULA DOES NOT EXTEND THE TIME PERIOD FOR WHICH THE LIMITED WARRANTY IS PROVIDED. IF THE APPLICABLE OS PRODUCT WAS LICENSED TO YOU BY AN ENTITY OTHER THAN MICROSOFT OR ANY OF ITS WHOLLY OWNED SUBSIDIARIES, MICROSOFT DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE PRODUCT AS FOLLOWS: 7. DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MICROSOFT AND ITS SUPPLIERS PROVIDE THE SOFTWARE PRODUCT AND SUPPORT SERVICES (IF ANY) AS IS AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY OR COMPLETENESS OF RESPONSES, OF RESULTS, OF WORKMANLIKE EFFORT, OF LACK OF VIRUSES, AND OF LACK OF NEGLIGENCE, ALL WITH REGARD TO THE SOFTWARE PRODUCT AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NONINFRINGEMENT WITH REGARD TO THE SOFTWARE PRODUCT. 8. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. LIMITATION OF LIABILITY AND REMEDIES. All Software Product provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 is provided with RESTRICTED RIGHTS as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable. 11. EXPORT RESTRICTIONS. You acknowledge that the Software Product is subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the Software Product, including the U.S. Export Administration Regulations, as well as end-user, end-use and destination restrictions issued by U.S. and other governments. For additional information, see http://www.microsoft.com/exporting/. 12. GOVERNING LAW. If You acquired this Software Product in the United States, this EULA is governed by the laws of the State of Washington, and You consent to exclusive jurisdiction and venue in the federal courts sitting in King County, Washington, unless no federal jurisdiction exists, in which case You consent to exclusive jurisdiction and venue in the Superior Court of King County, Washington. If You acquired this Software Product in Canada, unless expressly prohibited by local law, this EULA is governed by the laws in force in the Province of Ontario, Canada; and, in respect of any dispute which may arise hereunder, You consent to the jurisdiction of the federal and provincial courts sitting in Toronto, Ontario. If this Software Product was acquired outside the United States, then local law may apply. 13. ENTIRE AGREEMENT. This EULA (including any addendum or amendment to this EULA which is included with the Software Product) is the entire agreement between You and Microsoft relating to the Software Product and the support services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software Product or any other subject matter covered by this EULA. To the extent the terms of any Microsoft policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control. DANS LA MESURE MAXIMALE PERMISE PAR LES LOIS APPLICABLES, EN AUCUN CAS MICROSOFT OU SES FOURNISSEURS NE SERONT RESPONSABLES DES DOMMAGES SPÉCIAUX, CONSÉCUTIFS, ACCESSOIRES OU INDIRECTS DE QUELQUE NATURE QUE CE SOIT (NOTAMMENT, LES DOMMAGES À L’ÉGARD DU MANQUE À GAGNER OU DE LA DIVULGATION DE RENSEIGNEMENTS CONFIDENTIELS OU AUTRES, DE LA PERTE D’EXPLOITATION, DE BLESSURES CORPORELLES, DE LA VIOLATION DE LA VIE PRIVÉE, DE L’OMISSION DE REMPLIR TOUT DEVOIR, Y COMPRIS D’AGIR DE BONNE FOI OU D’EXERCER UN SOIN RAISONNABLE, DE LA NÉGLIGENCE ET DE TOUTE AUTRE PERTE PÉCUNIAIRE OU AUTRE PERTE DE QUELQUE NATURE QUE CE SOIT) SE RAPPORTANT DE QUELQUE MANIÈRE QUE CE SOIT À L’UTILISATION DU LOGICIEL OU À L’INCAPACITÉ DE S’EN SERVIR, À LA PRESTATION OU À L’OMISSION DE LA PRESTATION DE SERVICES DE SOUTIEN TECHNIQUE OU À LA FOURNITURE OU À L’OMISSION DE LA FOURNITURE DE TOUS AUTRES SERVICES, RENSEIGNEMENTS, LOGICIELS, ET CONTENU QUI S’Y RAPPORTE GRÂCE AU LOGICIEL OU PROVENANT AUTREMENT DE L’UTILISATION DU LOGICIEL OU AUTREMENT AUX TERMES DE TOUTE DISPOSITION DE LA PRÉSENTE CONVENTION OU RELATIVEMENT À UNE TELLE DISPOSITION, MÊME EN CAS DE FAUTE, DE DÉLIT CIVIL (Y COMPRIS LA NÉGLIGENCE), DE RESPONSABILITÉ STRICTE, DE VIOLATION DE CONTRAT OU DE VIOLATION DE GARANTIE DE MICROSOFT OU DE TOUT FOURNISSEUR ET MÊME SI MICROSOFT OU TOUT FOURNISSEUR A ÉTÉ AVISÉ DE LA POSSIBILITÉ DE TELS DOMMAGES. LIMITATION DE RESPONSABILITÉ ET RECOURS. MALGRÉ LES DOMMAGES QUE VOUS PUISSIEZ SUBIR POUR QUELQUE MOTIF QUE CE SOIT (NOTAMMENT, MAIS SANS LIMITATION, TOUS LES DOMMAGES SUSMENTIONNÉS ET TOUS LES DOMMAGES DIRECTS OU GÉNÉRAUX OU AUTRES), LA SEULE RESPONSABILITÉ DE MICROSOFT ET DE L’UN OU L’AUTRE DE SES FOURNISSEURS AUX TERMES DE TOUTE DISPOSITION DE LA PRÉSENTE CONVENTION ET VOTRE RECOURS EXCLUSIF À L’ÉGARD DE TOUT CE QUI PRÉCÈDE SE LIMITE AU PLUS ÉLEVÉ ENTRE LES MONTANTS SUIVANTS : LE MONTANT QUE VOUS AVEZ RÉELLEMENT PAYÉ POUR LE LOGICIEL OU 5,00 $US. LES LIMITES, EXCLUSIONS ET DÉNIS QUI PRÉCÈDENT (Y COMPRIS LES CLAUSES CI-DESSUS), S’APPLIQUENT DANS LA MESURE MAXIMALE PERMISE PAR LES LOIS APPLICABLES, MÊME SI TOUT RECOURS N’ATTEINT PAS SON BUT ESSENTIEL. À moins que cela ne soit prohibé par le droit local applicable, la présente Convention est régie par les lois de la province d’Ontario, Canada.
